Once the company has been incorporated we will proceed to preparing the organizational documents of the company. These include: the resolutions appointing directors, the resolutions issuing shares, other resolutions that may be necessary, e.g. to open a bank account and setting up the register of shareholders, the register of directors and that of the corporate secretary.

We will therefore need instructions and information to compile these documents.

A St. Lucian international business company needs only one shareholder, one director and one corporate secretary. These can be corporations or individuals. If corporations, they do not have to be St. Lucian corporations and if individuals, they do not have to be residents of St. Lucia. The directors of the company may meet at such times and in such manner and places within or outside St. Lucia, as the directors may determine to be necessary or desirable.

(e) Corporate Secretary

The law requires that the registered agent of an IBC must keep current information on the respective registers and therefore we require that we be notified promptly of any change in shareholders or directors of the company. This will include:

(a) the names and address of persons who are directors/shareholders of the compan

(b) the date on which each person was appointed as a director, or became a shareholder
